1. Agreement to these terms

These Terms of Service ("Terms") govern your use of the TryUncle website, desktop app, account, and related services (together, the "Service"). By creating an account, purchasing a subscription, downloading the app, or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree, do not purchase or use the Service. If you use TryUncle on behalf of an organization, you confirm that you are authorized to accept these Terms for it.

2. What TryUncle provides

TryUncle is an AI-assisted learning tool for DaVinci Resolve. It can respond to questions and point to controls on your screen. The Service requires compatible hardware, software, permissions, and an internet connection. Features, compatibility, and availability may change as the product evolves.

AI-generated guidance can be incomplete, inaccurate, or unsuitable for your particular project. You remain responsible for reviewing the guidance, protecting your work with appropriate backups, and deciding whether to act on it.

3. Eligibility and accounts

You must be legally able to enter into a binding agreement where you live. You are responsible for the accuracy of your account information, for activity under your account, and for keeping your sign-in credentials secure. Tell us promptly if you believe your account has been compromised.

One subscription is for one user unless the checkout or a separate written agreement says otherwise. You may not share, transfer, sell, or rent access to your account.

4. Subscriptions, billing, and cancellation

Paid access is billed in advance on a recurring monthly basis at the price, currency, and taxes shown at checkout. Your subscription renews automatically each month until you cancel. Our payment provider processes your payment details; we do not receive your full card number.

You may cancel at any time. Cancellation stops future renewals, and your access continues until the end of the period you already paid for. Except where required by law or covered by a refund promise displayed at the time of purchase, payments are non-refundable and we do not provide credits for partially used billing periods.

We may change subscription pricing for a future billing period by giving reasonable advance notice. Continuing the subscription after the new price takes effect means you accept it; you may cancel before then.

5. License and ownership

While your account is active and you comply with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the app for its intended purpose. TryUncle and its software, branding, design, and other content remain owned by us or our licensors. These Terms do not transfer any ownership rights to you.

You keep ownership of the material and information you submit. You give us only the rights needed to operate, secure, support, and improve the Service as described in our Privacy Policy.

6. Acceptable use

You may not use the Service to:

• Break the law, violate another person's rights, or facilitate harmful activity.
• Upload or submit content you do not have the right to use.
• Probe, disrupt, overload, bypass, or defeat security or usage controls.
• Copy, scrape, reverse engineer, or extract the Service or its models except where law permits.
• Resell, sublicense, or provide the Service to others without our written permission.
• Use automated access in a way that interferes with the Service or other users.

7. Third-party services

The Service relies on third parties for functions such as authentication, payments, hosting, analytics, speech, and AI processing. Their services may be subject to their own terms and may occasionally be unavailable. Our Privacy Policy explains which providers process data for us and why.

DaVinci Resolve and Blackmagic Design are not affiliated with or responsible for TryUncle. Their names and marks belong to their respective owners.

8. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create risk or harm, fail to pay, or use the Service in a way that could expose us or others to liability. Where practical, we will give notice and an opportunity to fix the issue.

We may discontinue the Service. If we end a paid Service before the end of your current billing period for reasons unrelated to your breach, we will provide an appropriate prorated refund where required.

9. Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available." We do not guarantee uninterrupted availability, error-free operation, compatibility with every setup, or that AI-generated guidance will always be accurate. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

10. Limitation of liability

To the extent permitted by law, TryUncle will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities arising from the Service. Our total liability relating to the Service will not exceed the amount you paid us during the 12 months before the event that created the claim.

These limits do not apply where liability cannot legally be limited, including mandatory consumer protections that apply to you.

11. Changes to these terms

We may update these Terms as the Service changes. We will revise the "Last updated" date and provide reasonable notice of material changes. Changes apply prospectively. Continuing to use the Service after revised Terms take effect means you accept them.

12. General terms

If part of these Terms is unenforceable, the remaining terms stay in effect. Our failure to enforce a term is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, reorganization, or sale of the Service. Applicable law and any mandatory rights you have as a consumer continue to apply.
